Pour l’Art

T.01
Updated [Date]

Terms and conditions.

The terms on which Pour l’Art provides services and operates its products. Plain language where the law allows it. Where a signed proposal says something different, the proposal wins.

01Who we are

Pour l’Art is the trading name of [Company legal name], registered in England and Wales under company number [Number], with its registered office at [Registered address]. “We”, “us” and “the studio” mean that company.

These terms apply to the website at pourl.art, to services we provide under a proposal, and to the products we operate: Art Plugged, ArtWire, Artlex, Cartage and Mécène. Product-specific terms, where they exist, sit alongside these and take precedence for that product.

02Services and proposals

Services are provided under a written proposal that sets out scope, deliverables, price and dates. A proposal becomes binding when you accept it in writing, including by email. Work outside the scope is agreed in writing before it starts and is charged at the rates in the proposal or, if none, our then-current rates.

Dates depend on timely access to your people, systems and materials. Where delay is caused on your side, dates move by at least the same period.

03Fees and payment

Fees are as stated in the proposal, exclusive of VAT, which is added where applicable. Unless the proposal says otherwise, invoices are payable within [14] days. We may pause work on overdue accounts after giving notice.

Late payment attracts interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.

04Intellectual property

On payment in full, you own the deliverables identified in the proposal, including source code written specifically for you. We keep ownership of pre-existing materials, tools, frameworks and know-how, and grant you a perpetual, non-exclusive licence to use them as part of the deliverables.

Open-source components are licensed under their own terms, which we identify on request. We may describe the work and show it in our portfolio unless the proposal says otherwise.

05Products and accounts

Access to ArtWire, Artlex, Cartage, Mécène and any other product we operate is subject to the plan you choose and these terms. You are responsible for the accuracy of content you upload and for keeping your credentials secure. We may suspend accounts used to send unlawful, defamatory or unsolicited material.

Service availability and support commitments for products are set out in the service level agreement.

06Editorial content

Art Plugged publishes criticism, interviews and reportage. Opinions are those of the author. We correct factual errors when they are brought to our attention at studio@pourl.art. Material on Art Plugged is protected by copyright and may be quoted briefly with attribution.

07Confidentiality

Each party keeps the other’s confidential information confidential and uses it only for the engagement. This does not apply to information that is public, already known, or required to be disclosed by law.

08Warranties and liability

We provide services with reasonable skill and care. Deliverables will materially conform to the proposal for [30] days after delivery, and we will correct non-conformities reported in that period. Beyond that, services and products are provided as is, and we exclude all other warranties to the extent the law allows.

Our total liability under an engagement is limited to the fees paid for that engagement in the [12] months before the claim. We are not liable for loss of profit, revenue, data or goodwill, or for indirect loss. Nothing limits liability for death, personal injury, fraud, or anything else that cannot be limited by law.

09Termination

Either party may end an engagement on [30] days’ written notice. You pay for work done to the date of termination. Either party may end immediately for a material breach that is not fixed within 14 days of notice, or on insolvency.

10General

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If part of these terms is unenforceable, the rest stands. We may update these terms; the date at the top shows the current version, and material changes to product terms are notified by email.
